This website, Client Portal, and Vendor Portal are operated by Facility Network (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of:
- The Facility Network website
- The Client Portal (for clients to submit and track service requests, billing, and reports)
- The Vendor Portal (for vendors to receive, manage, and complete work orders, and maintain compliance)
- All related communications, including emails and SMS messages
By accessing or using any of these Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
Part A – Website Terms of Service
1. Website Use and Eligibility
By using our website, you confirm that:
- You are at least the age of majority in your province or territory of residence, or have authority to bind your organization to these Terms.
- You will use our website only for lawful purposes and in compliance with all applicable laws.
- You will not attempt to gain unauthorized access to any part of our systems, including the Client Portal or Vendor Portal.
Prohibited Activities include: uploading malware, using automated bots without permission, impersonating others, submitting false information, or disrupting the integrity of the website.
Violation of these rules may result in suspension, termination, legal action, or reporting to authorities.
2. General Conditions
- We reserve the right to refuse service to anyone at any time.
- Content you submit (excluding payment details) may be transmitted across networks and adapted for technical compatibility.
- Credit card and financial information are always encrypted during transfer.
- You may not reproduce, duplicate, copy, sell, or exploit our Services without our express written consent.
3. Accuracy of Information

Part B – Client & Vendor Portal Terms of Service
1. Account Responsibilities
- You must provide accurate and complete information when creating an account.
- You are responsible for all activity under your account, including employees or subcontractors you authorize.
- You must maintain the confidentiality of your login credentials and notify us immediately of unauthorized use.
2. Work Orders and Service Use
- Clients: You are responsible for submitting accurate work order requests and making timely payments.
- Vendors: You must complete assigned work orders according to scope, SLAs, and all applicable laws
- Facility Network may monitor service delivery for quality assurance and compliance.
3. Payments and Fees
- Clients: You agree to pay invoices, pre-authorizations, and service charges associated with your account.
- Vendors: Payments are issued according to agreed terms, contingent on compliance, service completion, and documentation.
- Facility Network may withhold or delay payments if documentation is invalid, work is incomplete, or disputes are unresolved.
4. Compliance and Documentation (Vendors)
- Vendors must maintain valid insurance, licenses, certifications, and other compliance documents in the Vendor Portal.
- Failure to keep compliance documents current may result in suspension or termination of access.
5. Communications
- By creating a Client or Vendor account, you consent to receive service-related communications via email, portal notifications, and SMS.
- You may unsubscribe from marketing communications at any time.
- Service-critical communications (such as work orders, invoices, compliance alerts, or system notices) cannot be unsubscribed from.
6. Suspension and Termination
We may suspend or terminate your account if you:
- Fail to pay invoices (clients)
- Fail to maintain compliance (vendors)
- Breach these Terms of Service
- Misuse our systems or act unlawfully
Termination does not release you from obligations incurred prior to termination.
7. Limitation of Liability
Our Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free access. To the fullest extent permitted by law, Facility Network is not liable for indirect, incidental, or consequential damages arising from use of our website, Client Portal, or Vendor Portal.
8. Indemnification
You agree to indemnify and hold Facility Network, its officers, employees, and affiliates harmless against claims or damages arising from your violation of these Terms or misuse of our Services.
9. Dispute Resolution
If a dispute arises, you agree to first attempt resolution directly with Facility Network. If unresolved, disputes will be governed by the laws of Ontario, Canada.
Governing Law
These Terms of Service are governed by the laws of Canada and the Province of Ontario.
Changes to These Terms
We may update these Terms at any time. Updates will be posted on this page with a revised effective date. Continued use of our Services constitutes acceptance of the updated Terms.
